Old Leamingtonians Extra 1st XV (68) vs. AEI Rugby 1st XV (0)

This, by no stretch of the imagination, was one of Rugby’s big miss-matches. Old Leamingtonian Extra’s fielded a strong side, partly through necessity and partly through looking to give game time to returning players. The result was an unfortunate white wash. All credit to AEI for sticking at it.

The first try came with less than thirty seconds on the clock. A catch from the kick off was driven on in turn by Andy Davies and then James Barker. A quick pop to Nick Bingham saw the prop cum hooker crash through a weak tackle and head for the line. A covering tackler stopped Bingo from scoring himself, but he was able to pass to the grateful Aaron Dudley who touched down. Jamie Brown converted.

Now, OL’s scored another eleven tries after this, and without the benefit of video replay (or a thoughtful spectator recording the scores) I am just going to detail those tries I remember and leave it to my team mates to fill in the blanks.

Ian Maull scored two tries, one in each half. His first came from (I think) a lineout in the AEI 22 that was span out wide; each man committing his defender and offloading in a way that any coach would be proud to see happen on a pitch. Ian’s second came from a delightful chip through from Andy Mould; Ian scampering through like a spaniel chasing a tennis ball, and touching down in front of the covering defender.

Nick Bingham scored a brace himself; again one in each half. The first came from another kick off, the ball being worked deep into the AEI 22 through successive quick rucking and off loading out of tackles. Dudley was able to return the favour for Bingham by making the last pass that set the Warwickshire prop-forward up to crash over for his first. Bingham’s second came from a lineout move that worked (yes it does happen). Craig Ellis made a break for the line but was held up just short. Bingham was able to pick up and crash over from short range.

Robin “The Binman” Durrant scored a well worked try in the first half. Again, the ball was worked from the back of a set piece, each man committing his tackler before judging the moment of offloading to perfection. Durrant gassed his man and scored in the corner, making up for an earlier effort that ended up in touch.

Rob Marr, returning from the slopes of some mountain or another, scored a brace himself. His first came from a typical Marr style break through the middle; bursting through the tackler on the 22 and powering around the last man to score. The second was near enough exactly the same except that the break came from a little further back, and the score happened in the second half.

Rajvir Bahey, centre/back row maestro score a great individual effort himself. James Barker made the pass to the short side in the AEI 22. Bahey threw a dummy (demonstrating his new found “backs” skills) and stepped inside to score from short range.

Right, three more tries to go! Dudley scored his the second of his brace following a quick tap penalty moved away from the defenders. Andrew Hemming, describing himself as a “lean mean tackling machine” (to which the AEI centre with no knee caps left can attest), made a break and reluctantly passed to Dudley after he had committed his man. Dudley stepped the last man to score.

Andy Mould scored one himself, adding five points onto a day that saw him clock up around four assists. The try had the air of simplicity about it, coming in the second half when the AEI players heads were down. Andy made a simple break following a set piece out wide, and stepped the last man to score under the posts.

The final try comes from another set lineout play (we scored off both lads, well done!). Chris Clapham made another fine catch and offloaded to Luke Cobb. Cobby ambled over the try line without a defender in sight and had to be reminded that it might not be such a bad idea if he put the ball down.

Many people had a go at conversions, the emphasis being put on scoring more tries as opposed to being worried about the extra points. However, Jamie Brown managed to get only two in the first half with Rob Marr adding two of his own in the second half.

This was one of those games neither side really enjoyed playing; it was not competitive enough and frustration kicked in from both sides. OL’s could have scored more, but handling errors and a few over complications saw the score line stay as it was. OL’s scored through doing simple things well, not through a reliance on moments of individual flair. Yes, we used this game to try some stuff we wouldn’t have tried in a normal, closer encounter of the extra first kind; any team would do the same. Bahey’s loft would have received praise had it have worked; and Will Evans (specialist AEI-only back-row forward borrowed from the Dubai Harlequins for the day) reverse spin pass was hailed as the best bit of service of the day from the fly-half. Being the regular provider of that service I am disinclined to agree with such a statement.

Man of the Match goes to Chris Clapham. The specialist lineout jumper must have stolen 70%+ of the AEI ball, providing the backs with a great platform for attacking a staggered defensive line. His support play was excellent and he himself would have deserved a try. Well done boys, it’s a slightly different kettle of fish this week though. Bring on Broadstreet..........

 
3rd XV v Harbury 2nds: 0-10 Print E-mail

OLs were just pipped in a well contested hard fought game. Both sets of forwards strived to dominate the other but neither succeeded. Harbury nudged into the lead with a penalty kick shortly before halftime.  The second half saw more good work from both packs but Harbury sealed victory with a well worked try which was duly converted. Forwards Dean Harris and Tony Wood responded by raising their games further and together with fullback Rod Capp, who was so safe under the high ball, they counter attacked with enthusiasm. The OL Thirds look forward to the next encounter hoping for the elusive win that their efforts deserve.
 
U19 Colts v Stratford: 5-11 (Away) Print E-mail

The largest squad of the OL's Colt's season travelled to Stratford to play the first round of the Colt's cup.  The opening exchanges of play saw OL's attacking which was equally defended by Stratford .  Early in the game OL's were unfortunate to see the retirement of the 'evergreen' tackling of Eddie Prudoe due to a knee injury.  The game progressed with both teams missing penalty points in a very tightly contested game.  First points went to Stratford with a converted penalty.  The game was played in a 'stifled' manner with neither team able to play open flowing rugby.  Two OL's players were yellow carded in the last 10 minutes resulting in OL's having to defend and hold the pressure from Stratford with 13 players, first half ended with Stratford leading 3-0.

Second half commenced with the same level of intensity from both sides with on going substitutes and good levels of performance.  Following an attacking move from OL's a try was scored by Mike Tattersfield which took the score to 6-5.  Further scoring opportunities through penalties were wasted by both teams and a settled score of 6-5 was thought to be the final score. However a defensive mistake resulted in Stratford scoring a try in the last few minutes leaving a final score of 11-5.

Both sides were evenly matched and the game could have swung either way.

'Man of the match' was jointly awarded to: Mike Tattersfield & Tom Whelan.

Good luck to Stratford in the next round of the cup.

, Cubbington, Leamington Spa is currently held by trustees in trust for the Club.  Upon transfer of the assets and undertakings to the Old Leamingtonians Rugby Football Club Limited, the trustees will continue to hold the property as trustees for the Club as then owned by the Company.

 



RESOLUTION
-of‑
OLD LEAMINGTONIANS
RUGBY FOOTBALL CLUB (“the Club")
IT WAS RESOLVED that:

 

1.                   The Club delete current Rule 27 of the Constitution and substitute therefor with immediate effect as Rule 27, the following rule:

 

"27 Distribution of Assets by way of Reconstruction

 

A proposal that the Club distribute its assets by way of a scheme of reconstruction to a limited company with similar objects to the Club and then dissolve, shall be passed if supported by two thirds or more of those members present and voting at an annual or extraordinary general meeting."

 

2.                   Pursuant to new rule 27, the Club would convey, transfer, assign and/or deliver with effect from 1 April 2009 ("the Effective Date") to Old Leamingtonians Rugby Football Club Limited ("the Company") and the Company would acquire and take over:

 

(a)            all office equipment, vehicles, stationery, books, publications and other stocks, furniture, fixtures and fittings of the Club;

 

(b)           

 

the benefit of all the contracts together with all other subsisting contracts, commitments, engagements, orders and covenants including the right of the Company to novate the same (subject to the consent of the other parties thereto) and including all book debts due and owing to the Club;
(c)            the cash in hand and at banks and investments in the name of or held on behalf of the Club;
(d)            the benefit of any policies of insurance existing up to the Effective Date covering any liabilities of the Club taken out by the Club and of any claims pending thereunder;
(e)            all intellectual property rights together with the benefit and subject to any contracts with third parties for the exploitation thereof; and
(f)              all other (if any) assets liabilities and undertakings including the goodwill of the Club;
4.                   The Transfer of Undertakings (Protection of Employment) Regulations 2006 apply and accordingly the contracts of employment of all persons currently employed by the Club ("the Employees") will be transferred to the Company with effect from the Effective Date;
5.                   The Club shall give notice of the transfer of the assets and undertaking contemplated by this Agreement to each Employee on or before the Effective Date;
6.                   Completion of the transfer of assets and undertaking shall take place on the Effective Date or at such later date as the Club and the Company may agree whereupon the Club shall:
(a)            cause to be delivered to the Company all the assets hereby agreed to be transferred which are capable of passing by delivery and a duly executed assignment of all the other assets to be transferred hereby not capable of passing by delivery;
(b)            cause to be delivered to the company duly executed stock transfer forms in respect of any investments which are held in the name of the Club.
7.                   In cases where the Club has entered into agreements or contracts with third parties on terms whereby the purported assignment or novation thereof would be a breach of or otherwise cause or entitle such third parties to terminate such agreements or contracts, the Club shall use its best endeavours to obtain the agreement of such third parties to such assignment or novation, and if that agreement is not obtained, then such agreements or contracts shall not be or be deemed to have been so assigned or novated and the same shall continue and subsist in the name of the Club but on the basis that:

 

(a)            the Club shall not incur any liability thereby;
 
(b)            the obligations of the Club under such contract shall be performed by the Company in accordance with their respective terms;

 

(c)            in consideration of such performance, the Club shall direct or procure that all payments due to it under such contracts in respect of work carried out by the Company after the Effective Date shall be paid to the Company; and

 

(d)            the Club shall on behalf of the Company take such action and enforce all claims arising under such agreements or contracts against such third parties upon receiving the written request of the Company so to do together with an indemnity from it in terms reasonably satisfactory to the Club against all costs claims or losses arising or to be incurred by the Club in respect thereof;

 

7.                     The Club will warrant that with regard to the property and assets herein agreed to be transferred, all documents of title shall on being requested be produced to the Company and insofar as the title to any of the property or assets is as a result of such inspection found not to be properly vested in the Club the Club shall procure the execution of all such other documents and do or procure the doing of all such other things as may be necessary to vest the same in the Company;

 

8.                     The assets transferred in accordance with this Resolution are being transferred in their present state and no warranty, condition, term or representation, express or implied, statutory or otherwise, as to the condition, quality, accuracy, performance, merchantability or fitness for intended purpose of the said assets or the existence or extent of any third party rights or claims in relation thereto is given or assumed by the Club and all such warranties, conditions, terms and representations are excluded to the fullest extent permitted by law;

 

9.                     The Club shall take all necessary steps and co-operate fully with the Company to ensure that it obtains the full benefit of the assets and undertaking of the Club and shall execute such documents and take such other steps (or procure other necessary parties so to do) as are reasonably necessary or appropriate for vesting in the Company all their rights and interests in such assets and undertaking;

 

10.                  On completion of the transfer of the assets and undertaking to the Company, the Club would thereupon dissolve.
